Partner Agreement

1. Parties

This Partner Agreement ("Agreement") is entered into by and between Alacam IT ("Company", "we", "us") and you, the accepted partner ("Partner", "you").

2. Definitions

PrintPilot: The software as a service application owned by Alacam IT.

Customer: A new, distinct user who subscribes to a paid PrintPilot plan using your unique referral link.

NET Subscription Revenue: Total revenue received minus taxes, refunds, and chargebacks.

3. Partner Responsibilities

You agree to promote PrintPilot ethically and professionally. You may use approved marketing assets provided in your dashboard. You are responsible for ensuring your promotional methods comply with all applicable laws and regulations.

4. Company Responsibilities

The Company handles all Customer billing, software licensing, product support, and technical maintenance. You bear no support burden for the Customers you refer.

5. Commission Structure

The Partner earns a 20% recurring commission of the NET subscription revenue for each referred Customer. Commissions are recurring and paid only while:

  • The Customer's subscription remains active.
  • The payment succeeded.
  • There is no refund or chargeback.
  • No fraud is detected.

6. Commission Payment

Commissions are paid monthly. The minimum payout threshold is 100 EUR. Payments are made after a 30-day validation period to account for potential refunds or payment disputes.

7. Fraud and Restrictions

The following activities are strictly prohibited and will result in immediate termination of this Agreement and forfeiture of unpaid commissions:

  • Self-referrals (referring your own company or affiliates).
  • Creation of fake accounts.
  • Spam or unsolicited bulk emailing.
  • Trademark bidding on search engines.
  • Misleading or deceptive advertising.

8. Customer Ownership

All Customers referred by the Partner belong exclusively to Alacam IT. The Partner receives commissions only and holds no rights over the Customer's relationship with the Company.

9. Intellectual Property

We grant you a non-exclusive, revocable license to use our brand, logo, and marketing materials solely for the purpose of promoting PrintPilot under this Agreement. You must adhere to our brand guidelines.

10. Termination

Either party may terminate this Agreement at any time with 30 days written notice. Upon termination:

  • Previously approved commissions remain payable.
  • Future recurring commissions stop immediately after termination, unless otherwise agreed in writing.

11. Taxes

The Partner is solely responsible for reporting and paying any taxes in their own jurisdiction arising from the receipt of commissions.

12. Governing Law

This Agreement shall be governed by and construed in accordance with European Union commercial law, without giving effect to any choice or conflict of law provision or rule.
